WHEREAS, the Board of Trustees recognizes that certain issues and questions requiring immediate action by IMRF can arise between regularly scheduled Board meetings;

WHEREAS, in certain emergency situations IMRF staff needs authority to speak or act on behalf of the Board;

WHEREAS, it is not always possible to hold emergency meetings of the Board of Trustees in order to timely act or take positions on such issues or questions;

WHEREAS, the Board of Trustees previously authorized the IMRF Director of Investments to poll the Board on an individual member basis prior to acting on behalf of the Board in emergency investment matters;

WHEREAS, the Board of Trustees has empowered the IMRF executive director to act in the best interests of IMRF in a variety of matters;

WHEREAS, the Board of Trustees has determined that the IMRF executive director should have authority in emergency situations involving non-investment issues to poll individual Board members and to rely upon the results in order to act or speak on behalf of IMRF;

WHEREAS, the IMRF executive director shall include the issues or questions on the next Board meeting agenda with a formal vote to be taken at that time;

THEREFORE, BE IT RESOLVED by the Board of Trustees that:

The IMRF executive director is authorized to poll the Board on an individual member basis in emergency situations, when an emergency meeting of the Board is not possible, and may speak or act thereafter based on the results of the poll. The results of this poll are to be confirmed at either the next regularly scheduled Board meeting or at a special meeting of the Board, as appropriate.

In the case of legislative positions determined through a poll of the Board members, IMRF staff must make clear that the position is only preliminary and that it must be voted upon by the full Board.
